"StellaAD Crowdfunding (Stella Dream Funding)" Project Representative Terms and Conditions
Article 1 (Purpose and definition of terms)
These terms and conditions set out the rules between Sankei Ai Co., Ltd. (hereinafter referred to as "our company") and users who wish to plan and implement projects on the crowdfunding service (hereinafter referred to as " Stella Dream Funding ") within " StellaAD Online," a website operated by our company to support fans' activities.
The main terms used in these terms have the following meanings:
1 . Our company: Sankei Eye Co., Ltd. (StellaAD Support Advertising Office)
2. Stellar Dream Funding : A crowdfunding service for support advertising provided by our company
3 . Project representative: The person who plans and implements the project on Stellar Dream Funding
4 . Supporter: A person who supports a project by providing money (purchasing services)
Other terms will be explained in the text as needed.
Article 2 (Types of projects and conditions for establishment)
The types of Stellar Dream Funding projects and the conditions for success are as follows:

2. In the case of a committed execution project, if the target amount is not reached, the project representative is obligated to cover the shortfall, and we will charge that amount by immediate credit card payment.
If the project representative is unable to pay the remaining amount, the service cannot be provided.
* With the guaranteed execution type, you may be required to pay most of the target amount yourself, so please make sure you are able to pay before applying.
We only act as an agent to collect service fees and are not a party to the service contract. However, we will directly invoice any shortfalls. The project representative is responsible for the performance and quality of the services.
3. If the project funds for advertising exceed the actual service amount, we may, at our discretion, add advertising to other media or refund up to a certain amount.
4. If the purpose is already stated on the project page, the funds will be transferred to the designated account upon completion.
5. The obligation to send reward items must be fulfilled for all backers. Shipping costs etc. are the responsibility of the project representative.
6 If it is determined that the service cannot be provided, a refund will be provided.
Article 3 (Payment Methods, Usage Fees, etc.)
The project representative will pay our company fees related to the implementation of the project from the support funds from " Stellar Dream Funding ."
Payment will be made using the payment method specified by our company, and fees will not be refunded as a general rule.
Even if the project is cancelled or unable to be provided due to the project representative's circumstances, you are still obligated to pay fees, etc.
However, if the project is forced to be canceled due to our negligence, we will consult with the project representative and refund up to the total amount of the support amount.
Article 4 (Exhibition Application)
The project representative must create an account on " StellaAD Online." After that, they must select the media they want to advertise in, fill in the necessary information, and submit a project application.
2 We will review the submitted project and screen it against the standards of " Stellar Dream Funding ." We will notify you of the results of the review, whether approved or rejected.
3 If your project is approved, an "approval notice" will be sent to the project representative. Once you receive the notice and agree to the contents of the application form, the contract for submitting the project will be officially concluded.
Article 5 (Project page creation)
The project representative will fill in the necessary information in the template provided by " Stellar Dream Funding " and create a project page. All costs related to procuring materials such as photos and videos (hereinafter referred to as "materials") to be used in the project will be borne by the project representative.
Based on the information you provide, we will support your project.
Article 6 (Intellectual Property)
The project representative guarantees that the content of the project page does not infringe on the copyrights or other rights of third parties.
In addition, we may use the materials posted on the page for the purpose of promoting the project.
In addition, we may provide materials to the project representative to support this project. The rights to such materials belong to us or a third party that holds the legitimate rights to the materials, and therefore they cannot be used for any other purpose.
Article 7 (Recruitment Start and Restrictions)
The project page will be posted on " Stellar Dream Funding " on the fundraising start date specified by the project representative. After fundraising begins, major changes to the project content cannot be made. If there are already backers, the content cannot be changed.
Article 8 (Provision of Services)
The project representative is obligated to implement the project by the "Service Provision Period" specified in the table in Article 2 .
If there is a delay in the provision of the service, the project representative will promptly notify the supporter and set a new scheduled date.
The progress of the project will be reported accordingly.
Article 9 (Unable to provide)
If the project representative is unable to provide the service due to circumstances beyond their control, they will immediately notify us and provide an explanation and refund to the backers. In addition, if the project representative has already received funds for the project, they will be obligated to return that amount to the backers.
Article 10 (Cancellation)
A project cannot be canceled without a valid legal reason. Even if a project is canceled with our consent, the project representative is responsible for providing explanations and refunds to backers.
Article 11 (Personal information)
1. We may provide the project representative with the personal information of supporters (hereinafter referred to as "personal information") as set forth in our Privacy Policy. The project representative may use the personal information of supporters only for the following purposes:
〇Providing or shipping services, contacting or responding to inquiries about the project, etc. Purpose of carrying out the project
2. The project representative must manage the personal information of supporters strictly and appropriately at their own responsibility and expense, and may not disclose it to third parties without the supporter's consent.
3. If an accident occurs such as the leakage of a supporter's personal information before the provision of the service is completed, the project representative shall immediately contact our company and take appropriate measures at their own responsibility and expense.
Article 12 (Inquiries)
In principle, our company will be in charge of inquiries regarding " Stellar Dream Funding ," but depending on the situation, we may outsource this to a company designated by our company. If the inquiry is about a project or service, it will be transferred to the project representative. The project representative is obligated to respond to inquiries and complaints from supporters in good faith and to resolve and report the issue.
Article 13 (Confidentiality)
Confidential information and personal information regarding this service may not be disclosed to third parties.
The confidentiality obligations will survive the termination of the Project Agreement.
Article 14 (Disclaimer)
We shall not be liable for any damages arising in connection with the content or implementation of this service, except in cases of our willful misconduct or gross negligence.
The same applies if the provision of services is interrupted or suspended due to a natural disaster, disaster, or other force majeure. Details regarding the exemption from liability shall be in accordance with the disclaimer clauses set out separately.
Article 15 (Compensation for damages)
If damage occurs due to the fault of the other party, the project representative and our company may claim compensation.
Article 16 (Antisocial Forces)
1. The Project Representative and our company guarantee that they are not members of an organized crime group, a member of an organized crime group, a person who has been a member of an organized crime group for less than five years, a quasi-member of an organized crime group, a company related to an organized crime group, a corporate racketeer, a social activist or political activist, a special intelligence violent group, or any other entity equivalent thereto (hereinafter collectively referred to as "anti-social forces"). Furthermore, if it is discovered that the other party is an anti-social force or has any of the following relationships with an anti-social force, we may terminate this Agreement without any notice.
(1) In the case of a corporation, when it is recognized that anti-social forces control or are substantially involved in the management of the corporation.
(2) When it is deemed that the person has used anti-social forces in an unjust manner, such as for the purpose of obtaining wrongful profits for themselves, their company, or a third party, or for the purpose of causing damage to a third party.
(3) When it is deemed that the person is involved in providing funds or convenience to anti-social forces.
(4) When the person has a relationship with anti-social forces
2. The project representative or our company may terminate this Agreement without any notice if the other party, either directly or through a third party, commits any of the following acts:
(1) Violent demands
(2) Unreasonable demands that exceed legal responsibility
(3) Threatening behavior or violence in relation to transactions
(4) Spreading rumors, using fraudulent means or force to damage the reputation or credibility of the other party, or interfering with the other party's business.
(5) Any other acts similar to those listed above.
3. If the Project Representative or our company terminates this Agreement in accordance with the provisions of this Article, the other party shall not be required to compensate or indemnify the other party for any damages incurred by the other party, and if any damages are incurred as a result of such termination, the other party shall compensate for such damages.
Article 17 (Prohibited matters)
1. We prohibit the project representative from engaging in any of the following acts.
(1) Implementing projects that our company deems inappropriate, such as those that violate laws and regulations, public order and morals, or may encourage crime.
(2) Behaving in a grossly dishonest manner as a representative of the project, such as by giving false answers to inquiries from supporters.
(3) Raising funds by simultaneously posting goal-achievement type ( all-or-nothing type ) and execution-guaranteed type ( all-in type ) projects posted on "Stellar Dream Funding" on crowdfunding services outside of "This Site."
(4) Transferring the contractual status of the " Stellar Dream Funding " exhibit agreement and the rights and obligations thereunder to a third party.
(5) Using personal information of supporters and others obtained through the Stellar Dream Funding listing contract for purposes other than those intended.
(6) Violating the provisions of the relevant regulations.
If the Project Representative engages in any of the acts described in the preceding paragraph, we may immediately take the following measures without the Project Representative's consent.
1. Cancellation of the representative's project
2 ) Suspension or revocation of the representative's membership
In these cases, our company will not be liable for any damages to the project representative. Furthermore, our company may claim damages from the project representative for any violation of the preceding paragraph by the project representative.
In the case of the preceding paragraph 1 , the project representative must provide explanations to backers and return project funds in accordance with Article 10 .
Article 18 (Termination of Contract)
If we determine that any of the following applies, we may suspend or terminate the project without prior notice.
(1) When there is a serious violation of these Terms and Conditions.
(2) When you have violated another contract with us and the contract has been terminated as a result.
(3) When there is a significant deterioration in the property or credit situation, such as seizure, default on payments, or bankruptcy.
(4) When administrative sanctions (such as suspension of business) are imposed
(5) When bankruptcy proceedings are commenced, liquidation proceedings are commenced, or the company is dissolved.
(6) When we receive guidance from a competent authority or receive a serious complaint from a third party.
(7) When we determine that it is difficult to continue the project.
Article 19 (Governing Law and Jurisdiction)
These Terms and Conditions shall be governed by the laws of Japan, and the Tokyo District Court shall be the exclusive court of first instance for any disputes arising in connection with the Service.
Article 20 (Changes to Terms and Conditions)
We reserve the right to change these terms and conditions as necessary, and will immediately post such changes on " Stellar Dream Funding ." If the project representative continues to use the service after the changes have been made, they will be deemed to have agreed to the changes.
