StellaAD Crowdfunding (Stella Dream Funding) Terms of Use

Article 1 (Definition of Terms)

The definitions of the main terms used in these Terms and Conditions are as follows:

"Our company" : Sankei Ai Support Co., Ltd. Advertising Office

"This crowdfunding" : A purchase-based and donation-based crowdfunding run by our company called "Stellar Dream Funding"

"Applicant" : New Those who wish to register as members of Stellar Dream Funding

" "Stellar Dream Funding Member" : An individual whose application for registration in this crowdfunding campaign has been approved

"Project Representative" : Launches the project and recruits supporters Stellar Dream Funding Member

"Supporter" : A member who purchased the project's services through this crowdfunding project

"Project" : A project planned by the project representative, consisting of advertising displays, return gifts, etc.

"Services" : Advertising and gifts provided by the project representative to supporters

"Service fee" : Costs required to provide the service (borne by the supporter or representative)

"Project Page" : A dedicated page with detailed project information

"Registration Information" : Information provided at the time of registration, such as name, address, telephone number, and email address.

"Authentication information" : ID, password, and other authentication information required to use this crowdfunding campaign.


Article 2 (Application of Terms)

These terms and conditions set out the terms of use for this crowdfunding campaign and apply between our company and supporters (members, applicants, supporters, etc.).

When submitting a project, you must also agree to the "Project Representative Terms and Conditions."

We may provide additional terms of use on our website or by email, separate from these Terms of Use, and these terms will be treated as part of these Terms of Use. In the event of any discrepancies, the additional terms of use will take precedence.

Even if any part of these Terms and Conditions is invalid by law, this will not affect the validity of the other provisions.


Article 3 (Membership Registration)

Anyone who wishes to use this crowdfunding campaign must apply for membership in the prescribed manner, and a membership contract will be established when our company accepts the application.

Limited to individuals 18 years of age or older who are not currently enrolled in high school.

We may refuse or cancel your registration in the following cases:


If it is determined that the person does not exist

If you cannot contact the registered contact person

- If the registered information is false or inaccurate

If you have been suspended from using our services in the past

- When there is a risk of interfering with the performance of our business

〇Other cases that our company deems inappropriate

Please note that we are not obligated to disclose the reasons for the decision to refuse or cancel registration, and we will not accept any objections.


Article 4 (Type of Project)

This crowdfunding project is divided into two types:

  1. Goal-achieving (all-or-nothing) type:

The service will be provided on the condition that the target amount is reached.

  1. All-in type:

If there is at least one backer, even if the target amount is not reached, the representative will cover the difference and the service will be provided.


Article 5 (Purchase of Services)

After logging in, members can access each project page on the website and purchase services in accordance with the terms and conditions stated on that page.

Payment for the service will be made by the credit card registered at the time of membership registration. Payment will be made at the following times:

( 1 ) For goal-oriented projects: Payment will be made at the time the project is completed, or if the service is purchased after the project is completed, at the time of purchase.

( 2 ) For projects with a commitment to execution: Payment will be made at the time of purchase of the service.


The service fee includes consumption tax and, if necessary, shipping fees.

Payment of support funds to the representative will be considered complete once payment by the supporter (member) via credit card has been completed.

In addition, if the supporter does not complete payment, our company may cancel the sales contract on behalf of the representative.



Article 6 (Contractual Relationship)

This crowdfunding is a purchase/donation type, and the service purchase contract will be concluded between the backer and the project representative.

Our company is in a position to handle payment processing and advertising for this project, and is not directly responsible for providing returns based on the contract with supporters.

In addition, the use of the support funds will be decided and implemented at the discretion of the representative, and we do not guarantee their legality or appropriateness. However, with regard to matters relating to the implementation of advertising and other activities in which we are explicitly involved, we will bear the duty of care of a good manager within the scope of the relevant business.

If the funds for advertising etc. (service fee minus fees etc.) are greater than the amount actually required, they will be used for new media placement etc.

However, if the remaining balance exceeds 60,000 yen (excluding tax), the amount will be refunded to the project representative after deducting the bank transfer fee. The project representative is obligated to clearly inform supporters of the use of the surplus funds.


Article 7 (Outsourcing of payment operations)

We outsource our payment operations to Shopify .

Shopify uses the services of payment processing companies such as Stripe .

Supporters' payment information is provided to the payment processing company and is not retained by us or Shopify .


Article 8 (Cancellation)

As a general rule, services cannot be cancelled after purchase, except in cases where required by law or where there is negligence on our part.


Article 9 (Receipt of Services)

Please check each project page for the time required to provide the service.


Article 10 (Withdrawal)

If a Stellar Dream Funding member wishes to terminate their use of this crowdfunding campaign, they must complete the cancellation procedure in accordance with our company's designated method, and their cancellation will be complete once we have confirmed this.

Even after you cancel your membership, we will retain any information that is required to be retained by law (such as your service fee billing history) for the required period.

For inquiries regarding the project content, please contact the project representative directly from each page.


In order to protect personal information, we cannot respond to inquiries about authentication information (such as password inquiries) or requests to change or cancel your registration. If you have forgotten your password, please go to "Forgot your password?" on the "Login" screen and perform the reset procedure.


We will not be held responsible for any issues with email transmission such as non-delivery, delays, garbled characters, multiple transmissions of the same email, etc. Furthermore, we will not resend emails if the member deletes or loses the email they received.


Article 12 (Management of authentication information)

Stellar Dream Funding members shall manage their authentication information at their own risk, and all actions using such information shall be deemed to have been taken by the member themselves.


We do not guarantee that the functionality or quality of this crowdfunding campaign will not be impaired if multiple people use the same authentication information at the same time, or if multiple people connect to the same device using multiple authentication information at the same time.


Article 13 (Management of Registration Information)

Registration information will be handled appropriately in accordance with our privacy policy.


Even if a member cancels their membership or their use is suspended, we will delete their registration information after the legally required retention period has elapsed.


If there are any changes to the registered information, the member must promptly correct the details in the prescribed manner. It may take a certain amount of time to complete the procedure.


We shall not be liable for any disadvantages incurred by members due to failure to carry out the change procedures set forth in the preceding paragraph.


Article 14 (Prohibited matters)


Stellar Dream Funding members may not transfer, assume, or pledge their status under these Terms and Conditions or their rights and obligations under these Terms and Conditions to a third party without our prior written consent.


Members must not engage in any of the following acts:


・Any act that infringes on the rights or interests of our company or others

・Any act that slanders, discriminates, or damages the reputation of others

・Impersonating another person

- Use for commercial purposes or acts preparing for such use

- Criminal acts such as fraud or stalking, or acts similar to these

・Redistributing, lending, or selling this crowdfunding campaign to others without our approval.

・Acts of illegally obtaining personal information of others without their consent

- Any act that interferes with the operation of other people's equipment or the equipment used for this crowdfunding campaign.

-Illegal use of defects or failures or acts of communicating them to others

- Any action that interferes with the operation of this crowdfunding campaign or damages our company's credibility

・Acts that violate laws, regulations, or public order and morals

・Any other actions that our company deems inappropriate


Members may not use this crowdfunding campaign or its contents for any commercial purposes (reuse, reproduction, sale, etc.) without our prior written consent. However, sharing the URL for the purpose of publicizing the project does not fall under this rule.


Article 15 (Intellectual Property Rights)

All copyrights and other intellectual property rights related to this crowdfunding campaign (including the rights under Articles 27 and 28 of the Copyright Act) belong to our company.


The intellectual property rights of the content posted on the project page belong to our company, the project representative, or a third party with legitimate rights.


Members may not copy, transmit, distribute, transfer, lend, translate, adapt, license, reprint or reuse such content or software, etc., without our prior written consent.


However, this does not apply to sharing the URL of a project page for the purpose of publicizing the project.


If a member violates this article, we reserve the right to seek an injunction and to claim compensation equivalent to the profits gained by the member as a result of the violation.


Article 16 (Suspension of Use and Withdrawal from Membership)

If we determine that a member falls under any of the following, we may suspend their use of this crowdfunding service or terminate their membership (hereinafter referred to as "measures such as suspension of use") without prior notice.


・When a complaint or request is made by another party and it is determined that a response is necessary.

・If we are unable to contact the member for a long period of time.

・If mail addressed to the member is returned to our company or its representative.

- If you have suspended payments or are in a state of insolvency

- If there is a violation or possibility of a violation of the prohibited acts set out in Article 14

- If the violation of the terms and conditions is not resolved even after a request for correction.

- If you have not used the service for a certain period of time

・If it is discovered that the person is a member of or involved with anti-social forces.

・When a relationship that is socially reprehensible is recognized

- Any other serious reason equivalent to any of the preceding items exists, and we determine that measures such as suspension of use are necessary.


In principle, members may not raise objections to measures taken under the preceding paragraph. However, this does not apply if the measures are deemed to be illegal or extremely unreasonable. If a member's use is suspended or membership is terminated, the member will lose the benefit of the term and will be obligated to pay all accrued debts in full.

If a member falls under this article and our company suffers damages, we may claim compensation for damages.

We shall not be liable for any damages incurred by members due to measures such as suspension of use.


Article 17 (Changes and Cancellations of Service Contents)


We may change, suspend, or terminate the content of this crowdfunding campaign without prior notice, including due to force majeure such as maintenance work or natural disasters.


Article 18 (Disclaimer)

The project representative is directly responsible for the project content, the descriptions on the page, the services provided, the handling of personal information by the project representative, etc. (hereinafter referred to as "Project Content, etc."). For details, please contact the project representative directly from each page.


We do not guarantee the authenticity, accuracy, up-to-dateness, usefulness, reliability, legality, or non-infringement of third party rights of the project content, etc.

If a member has a dispute with a third party due to the use of this crowdfunding campaign, the member shall resolve the dispute at their own responsibility and expense.

If a member causes damage to our company through the use of this crowdfunding campaign, we may claim damages from the member.

Even if our company causes damage to a member, we will only be liable for compensation for ordinary damages, except in cases of willful misconduct or gross negligence.


Article 19 (Changes to Terms)

If we deem it necessary, we may change, add or delete these Terms and Conditions at any time without obtaining the consent of the Member.

When changing the terms and conditions, we will notify you by a method we deem appropriate (posting on the crowdfunding site, email, etc.). However, this does not apply to minor changes that do not cause disadvantage to members.

The revised terms and conditions will come into effect from the time of notification, unless otherwise specified.


Article 20 (Governing Law and Jurisdiction)

These Terms and Conditions shall be governed by the laws of Japan, and any disputes relating to this crowdfunding campaign shall be submitted to the Tokyo District Court as the exclusive court of first instance.
